These Terms and Conditions (“Terms”) form a legally binding agreement between you (“User”, “you”) and Fixomotive Solutions Private Limited (CIN: U62013MP2025PTC074186), having its registered office at Shop No. C1, Kalptarru Mall, Mahaveer Chowk, Balaghat – 481001, Madhya Pradesh, India (“Fixomotive”, “Company”, “we”, “our”, “us”).

Fixomotive operates two products under its Platform: Fixomotive Repair (a troubleshooting and reference platform) and Fixomotive Skills (a learning and simulation platform). Both products are governed by these Terms unless specifically stated otherwise.

By accessing, registering, or using our software, website, mobile application, or services (collectively, the “Platform”), you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Platform.

1. Service Description

Fixomotive is a Software-as-a-Service (SaaS) platform that provides:

1.1 Fixomotive Repair

  • Automotive troubleshooting guidance and reference data
  • AI-based assistant support for diagnostic queries (Fixi AI)
  • Diagnostic Trouble Code (DTC) reference and explanations
  • Wiring diagrams, component details, and ECM/ECU pinouts
  • Technical manuals and workshop information

1.2 Fixomotive Skills

  • Interactive learning modules for automotive technicians
  • AI-guided challenge tasks and exercises
  • Vehicle simulations and fault-injection scenarios
  • Skill assessments and progress tracking
  • Educational content from Fixomotive and authorized partners

Fixomotive does not sell physical automotive hardware, diagnostic tools, or perform actual repairs. The Platform provides reference and educational information only.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age
  • Be a professional automotive workshop, qualified mechanic, automotive technician, garage owner, training institute, or authorized representative thereof
  • Have legal capacity to enter into binding contracts under Indian law
  • Provide accurate, current, and complete information

The Platform is NOT intended for:

  • DIY users, hobbyists, or untrained individuals
  • Persons under 18 years of age
  • Use in any unauthorized commercial activity

By using the Platform, you confirm that you meet all eligibility requirements.

3. Account Registration

To access the Platform, you must:

  • Create an account using a valid mobile number and/or email address
  • Provide accurate workshop name and business address
  • Verify your identity through OTP or other verification methods
  • Maintain the confidentiality of your login credentials
  • Notify us immediately of any unauthorized access to your account

You are solely responsible for all activities performed using your account, maintaining the security of your password, and any losses arising from unauthorized account use.

Sharing of login credentials with any other individual or workshop is strictly prohibited and may result in immediate account termination without refund.

4. License and Usage Rights

Subject to your compliance with these Terms and, where applicable, payment of applicable subscription fees, Fixomotive grants you a limited, revocable, non-transferable, non-exclusive, non-sublicensable license to access and use the Platform for your professional workshop’s internal use only.

You shall NOT:

  • Copy, reproduce, scrape, or extract any content, diagrams, data, videos, AI outputs, or other materials from the Platform
  • Share, transfer, or sublicense your account access to any third party
  • Use the Platform to develop, train, or improve any competing product or service
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Platform
  • Use automated tools, bots, or scrapers to access the Platform
  • Resell, redistribute, or commercialize the Platform or its content
  • Remove, modify, or obscure any proprietary notices or branding

Violation of any of the above shall result in immediate account termination without refund and may attract legal action including damages, injunctions, and criminal prosecution under applicable Indian laws.

5. Data Accuracy and Educational Purpose

The information provided on the Platform, including but not limited to wiring diagrams, DTC explanations, component data, repair guidance, and AI-generated content, is for educational and reference purposes only.

You acknowledge and agree that:

  • Information may not always be 100% accurate, complete, or current
  • Information is not OEM-verified unless explicitly stated
  • Vehicle specifications and procedures may vary by model, year, and region
  • You must independently verify all information using official manufacturer guidelines before performing any repair
  • You must follow proper diagnostic procedures, safety protocols, and use professional tools

Fixomotive shall not be liable for any damages, losses, injuries, or claims arising from your reliance on, interpretation of, or use of Platform content.

6. Free Trial Terms

  • We offer free trials ranging from 3 to 30 days based on ongoing promotions
  • No credit card, UPI mandate, or auto-debit authorization is required for free trials
  • Trial users get access to selected flagship features as determined by Fixomotive
  • Trial access automatically ends without any charges if not converted to a paid subscription
  • Fixomotive reserves the right to modify or discontinue free trials at any time without notice
  • Once a trial period ends, you may convert to a paid subscription by making manual payment

The free trial period is provided so users can fully evaluate the Platform’s suitability for their needs before making any payment.

7. Forever-Free Features

Fixomotive offers certain features and sections of Fixomotive Repair and Fixomotive Skills on a permanently free-of-cost basis (“Free Features”). These Free Features are available to all registered users without requiring a paid subscription.

7.1 Scope of Free Features

The list of features offered as Free Features is published on the Fixomotive pricing page (https://fixomotive.in/pricing-2/) and may be updated from time to time. Fixomotive will notify existing users by email or in-app notice before any material change to the scope of Free Features.

7.2 Access Conditions

  • Free Features are available only to registered users with a valid Fixomotive account
  • Access may require workshop or professional verification as per Section 2 (Eligibility)
  • Free Features are bound by the same usage restrictions, intellectual property rules, and user conduct norms as paid features — see Sections 4, 10, and 11
  • Free Features are provided on an “as-is” basis without any service level guarantees, uptime commitments, or performance warranties
  • Fair-use limits, daily quotas, or rate limits may apply on certain Free Features (for example, limited Fixi AI chats per day)

7.3 Fixomotive’s Reservations

Fixomotive reserves the right, at its sole discretion, to:

  • Modify the scope, features, or availability of any Free Feature at any time
  • Introduce or revise usage limits, fair-use caps, or rate limits on Free Features
  • Require additional verification, KYC, or re-registration for continued access
  • Convert any Free Feature into a paid feature, with 30 days prior notice to existing users
  • Display sponsor content, advertisements, or promotional messages within or alongside Free Features
  • Discontinue any Free Feature at its sole discretion

Continued use of Free Features after any such change constitutes your acceptance of the change.

7.4 No Refund or Compensation Obligation

Since Free Features are provided at no cost, Fixomotive has no refund, compensation, service-credit, or alternative-access obligation for any interruption, modification, downtime, restriction, or discontinuation of Free Features.

7.5 Data Handling for Free Users

Users accessing only Free Features are still subject to the Fixomotive Privacy Policy. Personal data collected from free users is handled in accordance with the same standards applicable to paid subscribers.

8. Subscription Terms and Payment

  • Subscriptions become active only after successful manual payment by the user
  • There is no auto-renewal — you must manually renew at the end of each subscription period
  • Plans are offered on yearly billing cycles only
  • Current pricing is ₹5,900 per year for individual products and ₹9,999 per year for the Complete Bundle
  • All prices displayed are inclusive of applicable taxes unless stated otherwise
  • Pricing, features, and plan structures may change with 30 days prior notice
  • Continued use after pricing changes constitutes acceptance of revised pricing

Accepted payment methods:

  • Razorpay (cards, UPI, net banking, wallets)
  • UPI direct
  • Bank transfer

Invoices will be issued for all paid subscriptions. You agree to pay all applicable fees displayed at the time of purchase, including any taxes.

9. Refund and Cancellation Policy

All payments made to Fixomotive are generally final and non-refundable. However, the following limited exceptions apply:

9.1 Duplicate Payment

If you accidentally make duplicate payments for the same subscription, the duplicate amount will be refunded to your original payment method within 7 to 14 working days, after verification by our team.

9.2 Service Unavailability

If our services remain completely unavailable for more than 7 consecutive days due to issues attributable to Fixomotive (excluding force majeure events, scheduled maintenance, or third-party failures), you may claim a refund by:

  • Sending an email to contact@fixomotive.in explaining the issue
  • Providing your account details and subscription information

Upon approval of the refund:

  • A pro-rata refund will be processed for the unused subscription period
  • Your account will be permanently closed
  • Access to the Platform will be revoked
  • All associated subscription benefits will end

9.3 No Other Refunds

Apart from the two exceptions above, no refunds will be provided under any circumstances, including but not limited to:

  • Change of mind after subscription
  • Dissatisfaction with features
  • Lack of usage during the subscription period
  • Workshop closure or business changes
  • Personal or financial circumstances
  • Compatibility issues you did not test during the free trial
  • Voluntary account closure

By making payment after evaluating the free trial, you explicitly acknowledge and accept this refund policy.

10. User Conduct

You agree NOT to:

  • Use the Platform for any illegal, fraudulent, or harmful activities
  • Violate any intellectual property rights of Fixomotive, its sponsors, supporters, or third parties
  • Upload harmful material, viruses, malware, or malicious scripts
  • Share, transfer, or sell your account credentials
  • Attempt to breach the security or integrity of the Platform
  • Use the Platform to harass, defame, or harm any individual or entity
  • Misrepresent your identity or affiliation
  • Interfere with the Platform’s normal operation
  • Collect or harvest data from the Platform without authorization

We reserve the right to suspend or terminate accounts that violate these rules without prior notice and without refund.

11. Intellectual Property Rights

11.1 Fixomotive’s Intellectual Property

All content created and owned by Fixomotive on the Platform, including but not limited to:

  • Wiring diagrams and circuit illustrations created by Fixomotive
  • Technical manuals and procedures developed by Fixomotive
  • ECM/ECU pinout data compiled by Fixomotive
  • AI-generated outputs and Fixi AI responses
  • Graphics, logos, trademarks, and brand elements
  • Videos and multimedia content produced by Fixomotive
  • Software code, architecture, and database structure
  • User interfaces and design elements
  • Documentation and educational materials

is the exclusive property of Fixomotive Solutions Private Limited or its licensors and is protected by Indian and international copyright, trademark, patent, and intellectual property laws.

11.2 Sponsor and Supporter Content (Fixomotive Skills)

The Fixomotive Skills product may feature educational content, training modules, simulations, videos, manuals, and other materials contributed by third-party sponsors, supporters, partners, training institutes, OEMs, and content contributors (collectively, “Content Partners”).

You acknowledge and agree that:

  • Such sponsored or contributed content remains the exclusive intellectual property of the respective Content Partner
  • Fixomotive displays this content on the Platform under licensing or partnership arrangements with the Content Partners
  • All Content Partner logos, trademarks, brand names, and proprietary materials are owned by their respective Content Partners
  • Use of such content on the Platform does not grant you any rights, license, or ownership over the Content Partner’s intellectual property
  • You may not download, copy, redistribute, modify, or commercially use any Content Partner material without explicit written permission from the respective Content Partner
  • Fixomotive is not liable for any errors, omissions, or claims arising from sponsored or partner-contributed content — such liability rests with the respective Content Partner

Where required, Content Partner attribution is displayed alongside their content. Disputes regarding sponsored content should be addressed directly with the relevant Content Partner, with Fixomotive acting only as a hosting and distribution platform.

11.3 General Restrictions

No content on the Platform — whether owned by Fixomotive or contributed by Content Partners — may be copied, modified, distributed, sold, or publicly displayed without prior written consent from the respective rights holder. Any unauthorized use may result in legal action including injunctive relief, monetary damages, and criminal prosecution.

12. AI Output Disclaimer

The Platform incorporates Artificial Intelligence (AI) models, including the proprietary “Fixi AI” assistant, to generate diagnostic suggestions and repair guidance.

You acknowledge and agree that:

  • AI-generated outputs may contain errors, inaccuracies, or outdated information
  • AI suggestions are not OEM-verified or warrantied
  • AI outputs are provided for reference and educational purposes only
  • AI cannot replace professional judgement, training, or proper diagnostic procedures
  • You must independently verify all AI suggestions before acting on them
  • You must apply your professional skill and experience when interpreting AI outputs

Fixomotive disclaims all liability for any damages arising from reliance on AI-generated content.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

Fixomotive shall not be liable for any damages of any kind arising from or related to your use of the Platform, including but not limited to:

  • Direct, indirect, incidental, special, consequential, punitive, or exemplary damages
  • Vehicle damage, malfunction, or destruction
  • Personal injury, accidents, or fatalities resulting from repairs performed by users
  • Loss of revenue, profits, business, or opportunity
  • Loss of data or business interruption
  • Reputational harm or customer complaints
  • Misdiagnosis or incorrect repair procedures by users
  • Misinterpretation of Platform content or AI outputs
  • Third-party service failures or integration issues
  • Platform downtime, errors, bugs, or interruptions
  • Loss caused by force majeure events
  • Errors or claims related to sponsor or partner-contributed content

In no event shall Fixomotive’s total cumulative liability to you exceed the amount you paid to Fixomotive in the three months preceding the event giving rise to the claim.

You expressly acknowledge that you use the Platform at your own risk.

14. Indemnification

You agree to indemnify, defend, and hold harmless Fixomotive, its directors, officers, employees, agents, affiliates, and Content Partners from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising from or related to:

  • Your use or misuse of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights, including Content Partner intellectual property
  • Repairs performed by you on customer vehicles
  • Any claims by your customers or third parties relating to your services
  • Your breach of any representations or warranties

15. Data Privacy and Protection

Your personal information is collected, processed, and stored in accordance with our Privacy Policy and the Digital Personal Data Protection Act, 2023 (DPDPA) of India.

15.1 Data Storage

All customer data is stored on Indian servers only, in compliance with applicable data localization requirements.

15.2 Data Sharing

Fixomotive does not sell your personal data to any third party. Your data may only be shared with:

  • You — the account holder, on request
  • Authorized service providers — including cloud hosting providers, SMS gateway providers, email service providers, and payment processors, strictly for the purpose of delivering the Platform’s services and under confidentiality obligations
  • Government authorities — only when legally required and when such authorities have proper legal authority (such as a court order, summons, or applicable statutory requirement)

We do not share, sell, rent, or trade your personal data with any other third party for marketing, advertising, or commercial purposes.

15.3 Data Retention

  • Your account data is retained for as long as your account remains active
  • After account closure, your data continues to be retained on our systems unless you specifically request deletion
  • You may request deletion of your personal information by sending an email to contact@fixomotive.in
  • Upon receipt of your deletion request, we will delete your personal identifiable information within a reasonable time
  • We may retain anonymized usage patterns and aggregated analytics data to improve the Platform — this data does not personally identify you

15.4 Your Rights

Under applicable data protection laws, you have the right to:

  • Access your personal data
  • Correct inaccurate data
  • Request deletion of your personal data
  • Withdraw consent for data processing
  • Lodge complaints with the Data Protection Board of India

16. Third-Party Services

The Platform may integrate with third-party services including but not limited to:

  • Payment gateways (Razorpay and others)
  • Cloud hosting providers
  • SMS and email API services
  • CRM platforms
  • Analytics providers

Use of these services is governed by their respective terms and privacy policies. Fixomotive is not responsible for any failures, errors, breaches, or damages caused by third-party services.

17. Account Termination

Fixomotive reserves the right to suspend or terminate your account without prior notice for:

  • Violation of these Terms
  • Fraudulent or abusive behavior
  • Non-payment of fees
  • Sharing of credentials
  • Reverse engineering or unauthorized data extraction
  • Any other policy violation

Termination shall not entitle you to any refund of paid fees, except as specifically provided in Section 9.

Upon termination, your access to the Platform will be immediately revoked and any unused subscription period will be forfeited.

You may request voluntary account closure by emailing contact@fixomotive.in. Voluntary closure does not entitle you to refunds for the unused subscription period.

18. Software Updates and Changes

Fixomotive reserves the right to:

  • Update, modify, or discontinue features at any time
  • Modify subscription plans and pricing with 30 days prior notice
  • Improve, expand, or modify content and data
  • Change AI models or algorithms
  • Add or remove functionalities
  • Add, modify, or remove sponsor or partner content

Continued use of the Platform after changes are implemented constitutes your acceptance of the updated Terms.

19. Force Majeure

Fixomotive shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to:

  • Natural disasters, pandemics, or epidemics
  • Government actions, regulations, or sanctions
  • War, terrorism, civil unrest
  • Internet, telecommunications, or power failures
  • Cyberattacks or security breaches
  • Third-party service outages
  • Acts of God

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fixomotive regarding the use of the Platform and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

22. Waiver

Failure by Fixomotive to enforce any provision of these Terms shall not be deemed a waiver of such provision or the right to enforce it later.

23. Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. Fixomotive may assign these Terms to any successor or affiliate at any time without notice.

24. Channel Partners and Authorized Distributors

Fixomotive may make the Platform available through authorized Channel Partners, resellers, distributors, or white-label arrangements (collectively, “Channel Partners”). If you have obtained access to the Platform through a Channel Partner, the following additional terms apply.

24.1 Role of Channel Partners

A Channel Partner is an independent business entity that has entered into a formal agreement with Fixomotive to distribute, resell, or offer the Platform to end users under specific commercial arrangements. Channel Partners may:

  • Process user payments through their own payment infrastructure
  • Issue their own invoices and receipts for Platform subscriptions
  • Handle customer registration, onboarding, and identity verification
  • Provide first-line customer support and technical assistance
  • Manage refund and cancellation requests under their own policies
  • Offer the Platform under their own brand, co-branded, or as a Fixomotive-branded service, depending on the arrangement

24.2 Your Direct Commercial Relationship

If you subscribe to the Platform through a Channel Partner:

  • Your direct commercial and contractual relationship for payment, invoicing, and support is with the Channel Partner, not with Fixomotive
  • Your payments are made to the Channel Partner through their payment systems
  • Refund and cancellation requests must be submitted to the Channel Partner and will be governed by the Channel Partner’s refund policy — not by the Fixomotive Refund and Cancellation Policy
  • Customer support, troubleshooting, and service queries will be addressed by the Channel Partner in the first instance
  • Branding, user interface, and communication may appear under the Channel Partner’s name, co-branded with Fixomotive, or as a Fixomotive-branded service depending on the arrangement

24.3 Data Sharing with Channel Partners

When you use the Platform through a Channel Partner, you acknowledge and agree that your personal information, account data, and usage information will be shared between Fixomotive and the Channel Partner on a joint basis. This is necessary for:

  • Delivering the Platform’s services to you
  • Processing your payments and subscriptions
  • Providing customer support and resolving issues
  • Billing, invoicing, and refund processing
  • Compliance with legal and regulatory obligations

Both Fixomotive and the Channel Partner act as joint data custodians for your information. Each party is responsible for handling your data in accordance with applicable data protection laws, including the Digital Personal Data Protection Act, 2023.

Detailed information on how your data is collected, shared, stored, and protected in a Channel Partner arrangement is provided in our Privacy Policy.

24.4 Fixomotive’s Role

In a Channel Partner arrangement, Fixomotive’s role is primarily that of a technology and content provider. Fixomotive:

  • Provides and maintains the Platform’s software, infrastructure, and content
  • Retains ownership of all Fixomotive intellectual property
  • Receives shared access to user data for service delivery, platform improvement, and compliance purposes
  • Is not directly responsible for payment processing, invoicing, or refunds made through Channel Partners
  • May provide escalated or secondary support at its discretion

24.5 Channel Partner Terms and Policies

Each Channel Partner may have its own Terms of Service, Privacy Policy, Refund Policy, and customer support procedures. These Channel Partner-specific terms apply to your relationship with that Channel Partner, in addition to these Fixomotive Terms and Conditions.

In the event of any conflict between Channel Partner terms and Fixomotive Terms in matters relating to payment, invoicing, refunds, or customer support, the Channel Partner’s terms shall prevail for those specific matters. For all other matters — including intellectual property, content accuracy, AI disclaimer, limitation of liability, and governing law — these Fixomotive Terms and Conditions shall prevail.

24.6 Limitation of Fixomotive’s Liability for Channel Partner Actions

Fixomotive is not liable for:

  • Payment processing failures, delays, or disputes involving Channel Partner systems
  • Refund claims denied or delayed by Channel Partners
  • Customer support quality or responsiveness by Channel Partners
  • Data handling practices of Channel Partners (each Channel Partner is independently responsible for its own data practices)
  • Branding, marketing claims, or commercial representations made by Channel Partners
  • Contractual disputes between you and a Channel Partner regarding commercial terms

For issues related to these areas, you must contact the relevant Channel Partner directly. You may, however, escalate unresolved matters involving the Platform’s core functionality, content, or intellectual property to contact@fixomotive.in.

24.7 Verification of Channel Partner Status

If you are uncertain whether your subscription is through a Channel Partner or directly from Fixomotive, you may contact us at contact@fixomotive.in for verification. Authorized Channel Partners are listed on the Fixomotive website and are bound by formal distribution agreements with Fixomotive.

25. Governing Law and Dispute Resolution

25.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

25.2 Arbitration

Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be attempted to be resolved through good faith negotiations between the parties.

If negotiations fail to resolve the dispute within 30 days, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator appointed by Fixomotive Solutions Private Limited.

  • The seat and venue of arbitration shall be Balaghat, Madhya Pradesh, India
  • The arbitration proceedings shall be conducted in English or Hindi
  • The arbitral award shall be final and binding on both parties

25.3 Jurisdiction

Subject to the arbitration clause above, the courts at Balaghat, Madhya Pradesh shall have exclusive jurisdiction over any matter arising out of or in connection with these Terms.
