END-USER LICENSE AGREEMENT (EULA)

This End-User License Agreement (“EULA”) is a legally binding agreement between you (“User”, “you”) and Fixomotive Solutions Private Limited (CIN: U62013MP2025PTC074186), having its registered office at Shop No. C1, Kalptarru Mall, Mahaveer Chowk, Balaghat – 481001, Madhya Pradesh, India (“Fixomotive”, “we”, “our”, “us”).
This EULA specifically governs the software license granted to you when you access or use the Fixomotive Platform, including Fixomotive Repair, Fixomotive Skills, the FIXI AI assistant, associated APIs, mobile applications, and related software (collectively, the “Software”).
This EULA must be read together with, and forms part of, the Fixomotive Terms and Conditions, Privacy Policy, Refund and Cancellation Policy, and AI Output Policy, all of which are available at https://fixomotive.in. In case of any conflict between this EULA and the Fixomotive Terms and Conditions, the Terms and Conditions shall prevail.
By creating an account, accessing, downloading, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree, do not access or use the Software.
- License Grant
Subject to your compliance with this EULA, the Fixomotive Terms and Conditions, and, where applicable, payment of subscription fees, Fixomotive grants you a:
- Limited
- Non-exclusive
- Non-transferable
- Non-sublicensable
- Revocable
license to access and use the Software solely for your professional automotive workshop’s internal use, for the duration of your active subscription or permitted free access period.
This license is granted on a per-user basis — one account per authorized professional user. Shared accounts, multi-person access under a single login, or account resale are strictly prohibited.
- License Restrictions
You shall NOT, directly or indirectly:
- Copy, reproduce, scrape, extract, or mirror any content, diagrams, data, AI outputs, videos, or materials from the Software
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or underlying structure of the Software
- Modify, adapt, translate, or create derivative works based on the Software
- Distribute, resell, rent, lease, sublicense, or otherwise commercially exploit the Software
- Use the Software to develop, train, benchmark, or improve any competing product, service, or AI model
- Use automated tools, bots, crawlers, or scrapers to access the Software
- Share, transfer, or sell your account credentials to any third party
- Remove, alter, or obscure any proprietary notices, copyright marks, trademarks, or branding
- Use the Software for any illegal, harmful, fraudulent, or unethical purpose
Any violation of these restrictions may result in immediate license revocation, account termination without refund, and legal action under applicable Indian laws.
- Professional Use Only
The Software is designed and licensed exclusively for:
- Professional automotive workshops
- Qualified mechanics and technicians
- Garage owners and automotive service businesses
- Training institutes and automotive educators
- Authorized representatives of the above entities
The Software is NOT licensed for:
- DIY users, hobbyists, or non-professional consumers
- Persons under 18 years of age
- Any unauthorized commercial use not contemplated by this EULA
You represent and warrant that you meet the eligibility requirements set out in the Fixomotive Terms and Conditions (Section 2).
- AI-Generated Content
The Software includes FIXI AI — Fixomotive’s proprietary automotive AI assistant — along with other AI-powered features such as Smart DTC Search, diagnostic suggestions, interactive learning, and multilingual support.
You acknowledge and agree that:
- AI-generated outputs are predictions and may contain errors, inaccuracies, or outdated information
- AI suggestions are not OEM-verified or warrantied unless explicitly stated
- AI cannot replace professional judgement, formal training, or established diagnostic procedures
- You must independently verify all AI-generated outputs before acting on them
- You are solely responsible for any decision made based on AI-generated content
For full details on AI-generated content, refer to the Fixomotive AI Output Policy. Fixomotive disclaims all liability for damages arising from reliance on AI-generated content to the maximum extent permitted by law.
- Intellectual Property
All components of the Software — including but not limited to wiring diagrams, DTC databases, component data, ECM/ECU pinouts, AI models and outputs, user interfaces, software code, documentation, and all related materials — are and shall remain the exclusive intellectual property of Fixomotive Solutions Private Limited or its licensors.
Some content within Fixomotive Skills may be contributed by third-party sponsors, OEMs, or training partners. Such content remains the exclusive intellectual property of its respective owner and is used under licensing arrangements.
This EULA grants you a license to use the Software, not ownership of any part of it. For complete intellectual property terms, refer to Section 11 of the Fixomotive Terms and Conditions.
- Account Responsibilities
You agree to:
- Provide accurate, current, and complete registration information
- Maintain the confidentiality of your login credentials and authentication methods
- Prevent unauthorized access to your account
- Immediately notify Fixomotive of any suspected unauthorized access or credential breach
You are solely responsible for all activities conducted through your account. Sharing credentials constitutes a material breach of this EULA.
- Free Trial and Free Features
Fixomotive may offer free trial access (3 to 30 days) and certain permanently free features (“Free Features”), as described in the Fixomotive Terms and Conditions (Sections 6 and 7).
Free trial and Free Feature access are granted under the same license terms as this EULA, but:
- No service-level guarantees, uptime commitments, or compensation obligations apply
- Fair-use limits or rate limits may be enforced
- Access may be modified, limited, or withdrawn at Fixomotive’s discretion, in accordance with the Fixomotive Terms and Conditions
- Term and Termination
Term: This EULA remains in effect for as long as you access or use the Software, or until terminated as provided herein.
Termination by You: You may terminate this EULA at any time by ceasing use of the Software and requesting account closure at contact@fixomotive.in.
Termination by Fixomotive: Fixomotive may suspend, revoke, or terminate this EULA and your access to the Software immediately, without prior notice, if you:
- Violate this EULA, the Terms and Conditions, or any Fixomotive policy
- Misuse, share, or exploit proprietary data
- Attempt unauthorized access, reverse-engineering, or data extraction
- Engage in fraudulent, abusive, or illegal conduct
- Fail to pay applicable subscription fees when due
Effect of Termination: Upon termination, your license under this EULA immediately ends. You must stop all use of the Software, and Fixomotive may revoke your access without any refund obligation (subject to the Fixomotive Refund and Cancellation Policy).
- Subscription, Fees, and Refunds
Subscription activation, pricing, billing cycles, and refund eligibility are governed by the Fixomotive Terms and Conditions and the Refund and Cancellation Policy. Please refer to those documents for complete terms. Nothing in this EULA grants any refund, cancellation, or service credit beyond what is expressly set out in those policies.
- Service Availability
Fixomotive aims to provide high availability of the Software but does not guarantee uninterrupted access. Downtime may occur due to maintenance, infrastructure issues, third-party service outages, internet connectivity, or events beyond Fixomotive’s reasonable control.
Fixomotive’s obligations and limitations regarding service availability are set out in the Fixomotive Terms and Conditions.
- Disclaimers and Limitation of Liability
The Software is provided on an “as-is” and “as-available” basis. To the maximum extent permitted by applicable Indian law, Fixomotive disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Fixomotive’s total cumulative liability under this EULA, for any cause of action, shall not exceed the amount paid by you to Fixomotive in the three months immediately preceding the event giving rise to the claim.

- Data and Privacy
Your personal data collected in connection with this EULA is processed in accordance with the Fixomotive Privacy Policy and the Digital Personal Data Protection Act, 2023 (DPDPA) of India. All customer data is stored on Indian servers, and Fixomotive does not sell your personal data.
- Third-Party Services
The Software may integrate with third-party services, including payment gateways, cloud hosting providers, communication service providers, analytics tools, and AI service providers. Use of such services is governed by their respective terms, and Fixomotive is not responsible for third-party failures, outages, or policies.
- Updates and Modifications
Fixomotive may update, modify, or discontinue the Software (or any part thereof) at any time. Material changes to this EULA will be notified via email or in-app notice. Your continued use of the Software after such changes constitutes acceptance of the updated EULA.
- Governing Law and Dispute Resolution
This EULA is governed by the laws of India. Any dispute arising out of or in connection with this EULA shall be resolved in accordance with the dispute resolution mechanism set out in Section 25 of the Fixomotive Terms and Conditions, including good-faith negotiation, arbitration under the Arbitration and Conciliation Act, 1996, with seat and venue at Balaghat, Madhya Pradesh, India.
- Relationship to Other Agreements
This EULA forms part of a broader legal framework governing your use of the Software. The following Fixomotive documents also apply:
- Terms and Conditions — general platform use, subscriptions, conduct
- Privacy Policy — data collection, use, and protection
- Refund and Cancellation Policy — refunds, cancellations, and related rules
- AI Output Policy — AI-generated content limits and disclaimers
- Cookies Policy — cookie use and consent
In case of any conflict between this EULA and any of the above documents, the Terms and Conditions shall prevail.
- General Provisions
- Severability: If any provision of this EULA is found invalid or unenforceable, the remaining provisions shall continue in full force.
- Waiver: Failure by Fixomotive to enforce any provision does not constitute a waiver of future enforcement.
- Assignment: You may not assign this EULA. Fixomotive may assign it to any successor or affiliate at any time.
- Entire Agreement: This EULA, together with the documents referenced in Section 16, constitutes the entire agreement between you and Fixomotive regarding the Software.
